ShutterHub Terms of Service

This English translation is provided for reference only. In the event of any discrepancy between the Japanese original and this translation, the Japanese version shall prevail.

These Terms of Service (hereinafter referred to as "these Terms") set forth the conditions for use of "ShutterHub" (hereinafter referred to as "the Service"), a photo session booking and photo matching platform operated by Plena Inc. (hereinafter referred to as "the Company"). By using the Service, you agree to these Terms and the guidelines separately established by the Company.

Article 1 (Application)

  1. These Terms are intended to define the conditions for provision of the Service and the rights and obligations between the Company and Users and Guests, and shall apply to all relationships between Users and Guests and the Company concerning use of the Service.
  2. Guidelines, help content, and other individual provisions posted by the Company on the Service shall constitute part of these Terms. If the content of these Terms differs from that of any individual provision, the individual provision shall prevail unless otherwise specified.
  3. To the extent that these Terms conflict with mandatory provisions of the Consumer Contract Act or other mandatory laws and regulations when a consumer contract as defined under the Consumer Contract Act applies, these Terms shall not apply.

  2. The contracting parties for each transaction are as follows:
    • Participation in Photo Sessions: participant and Organizer
    • Instant shooting: requester (User or Guest) and Photographer
    • Studio use: user and Studio Operator
  3. When the Company itself plans, sells, or provides services, it shall clearly indicate that fact on the Service.

Article 4 (Account Registration)

  1. A person wishing to use the Service (hereinafter referred to as a "Registration Applicant") shall apply for registration by the method prescribed by the Company after agreeing to comply with these Terms.
  2. A Registration Applicant must provide true, accurate, and up-to-date information when registering.
  3. The Company may refuse registration or cancel registration after the fact if a Registration Applicant falls under any of the following:
    • The registration information contains falsehoods, errors, or omissions
    • The applicant has previously been subject to suspension of use or cancellation of registration due to a violation of these Terms or similar grounds
    • The Company determines that the applicant falls under or is involved with organized crime groups as set forth in Article 5
    • The Company otherwise determines registration to be inappropriate
  4. Users are responsible for managing their accounts and authentication credentials. Lending, transfer, sharing, or sale to third parties is prohibited.
  5. The Company shall not be liable for damage arising from unauthorized use of an account except where attributable to the Company.

Article 5 (Exclusion of Organized Crime Groups)

  1. Users and Guests represent and warrant that they do not fall under organized crime syndicates, members of organized crime syndicates, persons who have not passed five years since ceasing to be members of organized crime syndicates, associate members of organized crime syndicates, companies affiliated with organized crime, corporate extortionists, professional activist racketeers, special intelligence violent groups, or other persons equivalent thereto (hereinafter referred to as "organized crime groups"), and that they have no relationship whatsoever with organized crime groups.
  2. Users and Guests represent and warrant that they will not, by themselves or through third parties, engage in violent demands, unjust demands beyond legal responsibility, threatening conduct, spreading rumors, business interference through fraud or intimidation, damage to credibility, or other equivalent acts.
  3. If a User or Guest violates the preceding two paragraphs, the Company may immediately take necessary measures, including suspension of use of the Service, cancellation of registration, and withholding of transfer of funds before capture, without any notice.

Article 6 (Identity Verification and Age Restrictions)

  1. The Service may be used only by persons aged 18 or older (excluding high school students). Persons under 18 and persons enrolled in high school or equivalent institutions may not use the Service regardless of whether consent of a legal guardian has been obtained.
  2. The Company may require Users and Guests to submit identity verification documents and age verification documents to ensure the safety of the Service.
  3. Users who use the Service as Organizers, Models, Photographers, or Studio Operators must complete identity verification procedures by the method designated by the Company.
  4. If forgery, alteration, or use of another person's documents in identity verification is discovered, the Company shall take measures including suspension of use and cancellation of registration without prior notice and, where necessary, report to investigative authorities.

Article 7 (Roles and Permissions)

  1. Users may set roles as Organizer, Model, Photographer, or Studio Operator at registration or after registration. Multiple roles may be held concurrently.
  2. Functions, permissions, and responsibilities associated with each role shall follow these Terms and the guidelines posted on the Service.
  3. Guests may use only the instant shooting request feature and other functions permitted by the Company. When a Guest uses the Service, the Guest shall be deemed to have agreed to these Terms and related guidelines.

Article 8 (Booking of Photo Sessions)

  1. Organizers may recruit Photo Sessions through the Service. Organizers are responsible for the accuracy and legality of the content, fees, date and time, location, capacity, cancellation policy, participation conditions, and other matters posted for each Photo Session.
  2. Booking methods for Photo Sessions include first-come-first-served, lottery, administrator lottery, priority booking, and waitlist, and the Organizer shall select the method. Operational details for each method shall follow the guidelines.
  3. A booking is established between the participant and the Organizer when the participant confirms the content, date and time, location, fees, cancellation policy, and other matters of a Photo Session on the Service and completes the booking procedure.
  4. Cancellation, modification, and refunds of bookings due to circumstances of the Organizer or participant shall follow the cancellation policy of each Photo Session and the provisions of Article 12 of these Terms.

Article 9 (Conditions for Use of Instant Shooting Requests)

  1. Users and Guests may use the instant shooting request feature of the Service to request photography from Photographers in the vicinity of their current location.
  2. To use this feature, Users and Guests must permit location information acquisition by the browser or app. Location information shall be used to the extent necessary for matching and provision of this feature, and the scope and period of storage shall follow the Privacy Policy.
  3. When using this feature as a Guest, identity verification has not been completed. Such Guest shall acknowledge and use the feature on the understanding that the Company does not guarantee the identity verification status of the other party.
  4. After matching is established, Users and Guests and Photographers shall meet on site and conduct the shoot. The content, duration, fees, delivery format, and other conditions of the shoot shall follow the request content and the agreement at the time of matching.

Article 10 (Safety Considerations and Prohibited Conduct in Instant Shooting)

  1. For instant shooting, the first meeting is recommended to take place in a public location. Guiding to no-entry areas, dangerous locations, enclosed private spaces, homes, hotels, or similar places is prohibited.
  2. Users and Guests and Photographers shall agree in advance on shooting content, location, time, fees, and delivery conditions with the other party and shall not unilaterally change these during the shoot.
  3. The following acts are strictly prohibited in instant shooting:
    • Exposure, sexual poses, coercion of sexual contact, or inducement to obscene photography
    • Secret photography or recording in changing rooms, waiting rooms, restrooms, or other places where the subject has not consented
    • Physical contact, ambush, stalking, or persistent contact
    • Inducement to payment or transactions outside the Service
    • Other acts contrary to the will of the other party or that threaten safety
  4. In an emergency, contact the police, fire department, medical institutions, or other relevant authorities directly rather than the Company. The Company shall, where necessary, provide post-hoc mediation between parties, provision of logs, cooperation with investigative authorities, and other responses.
  5. If conduct violating this Article is recognized, the Company may take necessary measures, including suspension of use, cancellation of registration, payment hold, and reporting to relevant authorities, without prior notice.

Article 11 (Payment and Payment Hold)

  1. Prepayment on the Service is processed through a payment service provider (Stripe, Inc.). Fees for prepaid Photo Sessions, Today Photo, and tips are charged on the Company's payment service provider account, and the amount remaining after deduction of the Company's platform fee is transferred automatically, through the transfer functions of the payment service provider upon capture, to the payment service provider account of the Organizer or Photographer (hereinafter referred to as the "Recipient"). Fees do not pass through the Company's bank deposit accounts, and the Company does not accept deposits of funds from users. The payment under this Article is not performed for bookings for which payment on site has been selected or for Photo Sessions for which no fee arises (the treatment of payment on site is set forth in Article 14).
  2. For Today Photo, authorization is held with the payment service provider at the time the request is established, and capture is performed upon completion of the shoot and confirmation of receipt by the user, or upon expiration of the prescribed confirmation period or fulfillment of other conditions displayed on the Service, whereupon transfer to the Recipient is executed.
  3. Users and Guests shall agree to the terms of use of the payment service provider when using the Service, and Users who use the Service as Recipients shall agree to the payment service provider's seller terms (Connect Account Agreement, etc.).
  4. If payment errors, duplicate charges, unauthorized use, or chargebacks occur, they shall be handled in accordance with the provisions of the Company and the payment service provider. Damage due to chargebacks or other grounds attributable to the Recipient shall, in principle, be borne by the Recipient.

Article 12 (Refunds and Payment Hold)

  1. The Company may refund all or part of fees to users through the payment service provider, or withhold capture or transfer to Recipients, in any of the following cases:
    • Cancellation, non-performance, lateness, unauthorized absence, mid-session departure, delayed delivery, inability to deliver, or significant quality defects of Photo Sessions due to grounds attributable to the Organizer, Photographer, or Studio Operator
    • The Company determines that the photography provided significantly deviated from the description on the Service
    • Performance became impossible due to force majeure such as natural disasters, catastrophes, suspension of transportation, spread of infectious disease, or unavailability of the venue
    • Continuation of the shoot became difficult due to prohibited conduct under Article 10 of these Terms or other prohibited conduct
    • Cancellation was agreed upon by both parties
    • Completion of the transaction is not expected due to incomplete identity verification, cancellation of registration, inability to pay, or other circumstances
    • The Company reasonably determines that a refund or payment hold is appropriate for the sound operation of the Service
  2. The Company shall make determinations under this Article based on reasonable grounds such as message history, logs on the Service, explanations of the parties, submitted materials, and location information logs.
  3. Payment processing fees, transfer fees, and other incidental costs shall, in principle, not be subject to refund and shall follow the cancellation policy of each Photo Session or displays on the Service.

Article 13 (Claim Reporting Period)

  1. Users and Guests shall report non-delivery, quality defects, or other objections to the Company by the method prescribed by the Company within the period specified by the Company on the Service from the latest of the end date of a Photo Session, the completion date of instant shooting, or the scheduled delivery date displayed on the Service.
  2. If no objection is reported within the period under the preceding paragraph, the User or Guest shall be deemed to have approved the provided content, and for Today Photo, capture of fees and transfer to the Recipient shall be executed. For prepayment of Photo Sessions and for tips, capture and transfer are completed at the time of payment, and therefore no capture under this paragraph occurs (refunds thereof are governed by Article 12).
  3. Notwithstanding the preceding two paragraphs, the Company shall accept reports and take necessary action even after expiration of the period under this Article for serious matters such as harassment, infringement of rights, illegal photography, or fraud.

Article 14 (Handling of On-Site Payment)

  1. Organizers may adopt on-site payment within the scope permitted by the Company. When on-site payment is adopted, the Organizer shall clearly indicate that fact and the conditions before the booking procedure.
  2. Cancellation fees, handling of non-payment, refunds, and responsibility for issuing receipts in cases of on-site payment shall be borne by the Organizer, and the Company shall not be involved in such transactions.
  3. For bookings established on the Service, inducing payment or transactions outside the Service beyond the scope permitted by the Company constitutes a prohibited act under Article 23 of these Terms.

Article 15 (Subscriptions)

  1. The Company may provide subscription plans including paid features. The types of plans, fees, features, billing timing, and cancellation conditions shall be as displayed on the Service.
  2. Subscriptions shall automatically renew at each prescribed period unless cancellation procedures are performed. If a free trial period exists, the plan shall automatically transition to a paid plan and billing shall commence at the end of the trial period.
  3. Users may cancel a subscription at any time. After cancellation, paid features may be used until the end of the current billing period, but no pro-rata refund shall be made for unused periods.
  4. When the Company changes fees or feature content, it shall announce the change on the Service a reasonable period in advance. Users who continue a subscription after the change shall be deemed to have agreed to the change.

Article 16 (Studio Booking)

  1. Studio Operators may post studio information on the Service and provide it as a shooting location. Studio Operators are responsible for the accuracy and legality of posted information.
  2. Studio booking, conditions of use, fees, cancellation policy, entry and exit management, extension fees, and other matters shall follow those established by each Studio Operator.
  3. Responsibility for studio equipment, safety, cleaning conditions, and other physical environments, as well as handling of damage or soiling by users, restoration to original condition, coordination with neighbors, and violations of prohibited uses, shall be handled by Studio Operators and users as the parties concerned, and the Company shall not be responsible for such handling.

Article 17 (Copyright in Content)

  1. Copyright and other intellectual property rights in Content posted by Users and Guests on the Service belong to the relevant Users and Guests or legitimate rights holders.
  2. Users and Guests warrant that Content does not infringe copyrights, trademark rights, portrait rights, privacy rights, or other rights of third parties.
  3. If the Company discovers Content that violates these Terms or laws and regulations, it may delete or hide such Content without prior notice to Users and Guests.

Article 18 (Scope of Use of Photographic Images and Portrait Rights)

  1. For images taken at Photo Sessions and through instant shooting, the party using the images (photographer, subject, or Organizer), scope of use (personal viewing only, posting on social media, portfolio display, photobook publication, commercial use, whether editing is permitted, etc.), and period of use shall be agreed among the parties before the shoot. Parties may set the scope of use through functions on the Service. If no agreement is reached on the period of use, the parties shall consult within a reasonable scope, and the subject may request cessation of use by the method under paragraph 3.
  2. When publishing images containing the portrait of a subject in photobooks or otherwise using them commercially, the photographer and publisher shall obtain the subject's explicit consent.
  3. If a subject discovers that use exceeding the agreed scope of use is being made, the subject may submit a deletion request or rights infringement claim by the method prescribed by the Company. The Company shall hide or delete the relevant Content if it determines such action to be appropriate.
  4. Handling of published Content after withdrawal of Users and Guests shall follow the guidelines on the Service and the Privacy Policy.

Article 19 (Use of Content by the Company)

  1. Users and Guests grant the Company a free, non-exclusive, worldwide license to use Content they post to the extent necessary for provision and operation of the Service (storage, reproduction, distribution, thumbnail generation, trimming, resizing, display in search results, etc.).
  2. When the Company uses Content for advertising, promotion, social media posting, external media publication, case studies, or other marketing purposes, it shall obtain separate explicit consent from necessary rights holders including the poster of the Content and the subject.
  3. The Company shall not provide Users' and Guests' Content for training of machine learning models or generative AI models. If the Company engages in such use in the future, it shall do so through revision of these Terms and separate acquisition of consent.

Article 20 (Messaging)

  1. The messaging feature of the Service may be used only for purposes aligned with the Service, such as coordination of Photo Sessions.
  2. The Company may review, store, and use the content of messages to the extent necessary for ensuring the safety of the Service, investigation of violations, dispute response, fraud detection, and legal compliance upon reports, automatic detection, or occurrence of disputes.
  3. Sending messages unrelated to the Service, such as unsolicited sales, solicitation, harassment, obscene expressions, threats, or inducement to external services, is prohibited.

Article 21 (Rank System)

  1. The Company may automatically calculate and assign ranks based on indicators such as user usage history, evaluations, identity verification status, cancellation rate, and violation reports.
  2. Ranks may come with benefits within the Service such as priority booking. However, ranks do not guarantee booking establishment, and booking may not be possible due to capacity of Photo Sessions or other circumstances.
  3. The Company may change rank calculation methods or adjust individual user ranks when it deems necessary. Users may contact the Company within a reasonable scope if they believe there is an obvious error in a rank.

Article 22 (Fees)

  1. The Company may charge platform fees, payment processing fees, transfer fees, and other fees for use of the Service.
  2. The types, rates, and collection methods of fees shall be as displayed on the Service, and the Company may change them with prior notice.

  10. Impersonating the Company, other Users and Guests, or third parties
  11. Unauthorized access, acts causing excessive load, reverse engineering, or other acts that interfere with operation of the Service
  12. Using or disclosing personal information of other Users and Guests obtained through the Service for purposes outside the Service

  14. Resale, transfer, or lending of booking rights for Photo Sessions

  17. Harassment, stalking, ambush, persistent contact, misuse of location information, or other acts that threaten the safety of other Users and Guests
  18. Other acts that the Company deems inappropriate

Article 24 (Allocation of Responsibility Among Users and Guests)

  1. Organizers bear primary responsibility for planning, recruiting, operating, and responding to participants of Photo Sessions and for the accuracy of posted information.
  2. Photographers and Models bear responsibility for participating in shoots safely and appropriately in accordance with mutual agreement and the rules of Photo Sessions.
  3. Studio Operators bear responsibility for the physical environment, equipment, safety, and conditions of use of studios they provide.
  4. The Company operates the Service as a provider of a venue and is not a party responsible for transactions among Users and Guests, shooting content, conduct of Photo Sessions, content of Content, or troubles during in-person meetings.

Article 25 (Withdrawal and Handling of Data)

  1. Users may withdraw from the Service by the method prescribed by the Company. After withdrawal, they shall lose all rights relating to use of the Service.
  2. Even after withdrawal or cancellation of registration, the Company may retain related information for a certain period to the extent necessary for legitimate purposes such as legal compliance, payment and tax processing, dispute response, and prevention of unauthorized use. Specific items retained and retention periods shall follow the Privacy Policy.
  3. Deletion, hiding, backup retention periods, and other handling of published Content shall follow the guidelines on the Service and the Privacy Policy.

Article 26 (Disclaimer)

  1. The Company does not warrant the completeness, accuracy, usefulness, legality, safety, or fitness for a particular purpose of the content of the Service, information obtained by Users and Guests through the Service, or acts of other Users and Guests on the Service.
  2. The Company shall have no obligation to resolve troubles arising among Users and Guests through the Service and shall not be liable except where attributable to the Company. The Company may provide support for dispute resolution when it deems necessary.
  3. The Company shall not be liable if provision of the Service is hindered due to system failure, communication line defects, natural disasters, power outages, cyberattacks by third parties, or other force majeure except where attributable to the Company.
  4. If damage arises to Users and Guests due to grounds attributable to the Company, the Company's liability shall, except where the Company acted intentionally or with gross negligence, be limited to the total amount of fees paid by the relevant User or Guest to the Company during the most recent 12 months (or, where a consumer contract applies, an amount equivalent to fees related to the relevant transaction), excluding special damages and lost profits.

  2. If the Company terminates provision of the Service in its entirety, it shall announce on the Service a reasonable period in advance the handling of unperformed bookings, funds before capture, remaining subscription periods, published Content, and other matters. The Company shall take reasonable transitional measures regarding refunds or alternative measures for unfulfilled transactions, handling of remaining subscription periods, periods during which Content may be downloaded, and similar matters.
